1. Acceptance of Terms

By accessing and using Alivelists ("Service", "we", "us", "our"), located at https://alivelists.com, you accept and agree to be bound by these Terms of Service and our Privacy Policy. These Terms apply to all visitors, users, and others who access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You agree to defend, indemnify, and hold harmless Alivelists, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any Content you post or submit through the Service
• Your negligent or wrongful conduct

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and all associated Content
• You remain liable for any obligations incurred prior to termination

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Dispute Resolution

Informal Resolution: Before filing a claim against us, you agree to try to resolve any dispute informally by contacting us at legal@alivelists.com. We will try to resolve the dispute informally within 30 days.

Binding Arbitration: If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be finally settled by binding arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act, 1996.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in India, and you hereby consent to the personal jurisdiction and venue therein.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised terms.
